By accessing or using Whisone, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

• "User," "you," or "your" refers to the individual or entity using the Service
• "Validation Report" refers to the AI-generated analysis of startup ideas provided by the Service
• "Content" refers to all text, data, information, software, graphics, and materials
• "User Content" refers to content you submit, upload, or transmit through the Service

3. Eligibility

You must meet the following requirements to use Whisone:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing:

• Accurate personal or business information

4.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

• Technical feasibility assessment
• MVP roadmap recommendations

5.2 Important Limitations

6. Subscription Plans and Payment

6.1 Free Plan

• Limited to 2 validation reports per month
• Basic validation features only
• No payment required
• Can be upgraded to Professional plan at any time

6.2 Professional Plan

• $29/month subscription fee
• Unlimited validation reports
• Full access to all features
• Billed monthly via Stripe
• Automatically renews unless cancelled

6.3 Payment Terms

• Payment processed securely through Stripe
• All fees are in USD unless otherwise stated
• Subscription fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in service suspension

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds for partial months.

7. User Content and Intellectual Property

7.1 Your Content Ownership

You retain all ownership rights to your startup ideas and content. By submitting content to Whisone, you do NOT transfer ownership or grant us rights to use your ideas for any purpose other than providing validation services.

7.2 Limited License to Process

You grant us a limited, non-exclusive license to:

• Process your submissions to generate validation reports
• Store your content securely in your account
• Use anonymized, aggregated data to improve our AI models

This license terminates when you delete your content or account.

7.3 Confidentiality Commitment

7.4 Whisone IP

All Whisone intellectual property, including our platform, AI models, validation methodology, reports format, and branding, remains our exclusive property. You may not:

• Copy, modify, or reverse engineer our platform
• Use our validation methodology for competing services
• Reproduce our branding or marketing materials
• Extract or scrape data from our platform

8. Prohibited Uses

You agree not to use Whisone for any unlawful purpose or in ways that:

• Violate any applicable laws or regulations
• Infringe on others' intellectual property rights
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated systems (bots) without authorization
• Resell or redistribute our services
• Harass, abuse, or harm other users
• Submit malicious code, viruses, or malware
• Circumvent usage limits or payment requirements

You agree to indemnify, defend, and hold harmless Whisone and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of any rights of another party
• Your User Content
• Any business decisions made based on validation reports

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@whisone.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Provisions intended to survive termination (indemnification, disclaimers, limitations of liability) remain in effect
• No refunds for prepaid subscription fees

16. Miscellaneous Provisions

These Terms, together with our Privacy Policy and any other agreements you enter into with Whisone, constitute the entire agreement between you and Whisone.

16.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, pandemics, or internet failures.
